Welcome to PanaToys. Bora Home Store LLC, doing business as PanaToys (“PanaToys,” “we,” “us,” or “our”), operates this store and website, including all related information, content, features, tools, products, and services, to provide customers with a curated shopping experience (the “Services”). PanaToys is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced herein (collectively, these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully. They include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or our Privacy Policy, you should not use or access the Services.

Section 1 – Access and Account

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state of residence, or that you are the age of majority and have given us permission to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.

To use the Services, including browsing our online store or purchasing any products or services we offer, you may be asked to provide information such as your email address and billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current, and complete and that you have all necessary rights to provide it.

You are solely responsible for maintaining the security of your account credentials and for all activity conducted through your account. You may not transfer, sell, assign, or license your account to another person.

Section 2 – Our Products

We make reasonable efforts to represent our products and services accurately. However, colors and product appearances may differ from what appears on your screen because of your device type, display settings, lighting, photography, or other factors.

We do not warrant that the appearance or quality of products or services purchased by you will exactly match your expectations or their depiction in our online store.

Product descriptions may be changed at any time without notice at our sole discretion. We reserve the right to discontinue products and to limit the quantities offered to any person, geographic region, or jurisdiction on a case-by-case basis.

Some products may require adult assembly, supervision, batteries, charging, or adherence to age and safety recommendations. Customers are responsible for reviewing all available product information, age recommendations, warnings, and instructions before allowing a child to use a product.

Section 3 – Orders

When you place an order, you are making an offer to purchase. PanaToys reserves the right to accept or decline an order for any lawful reason at its discretion. Your order is not accepted until PanaToys confirms acceptance. We must receive and process your payment before an order is accepted.

Please review your order carefully before submitting it. PanaToys may be unable to accommodate cancellation or modification requests after processing begins. If we decline, change, or cancel an order, we will attempt to notify you using the email address, billing address, or telephone number provided when the order was placed.

Purchases are subject to return or exchange only in accordance with our Return and Refund Policy.

You represent and warrant that your purchases are intended for your personal or household use and not for unauthorized commercial resale or export.

Section 4 – Prices and Billing

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect when the order is placed and will appear in your order-confirmation email. Unless expressly stated otherwise, displayed prices do not include applicable taxes, shipping, or handling charges.

Prices displayed in our online store may differ from prices offered by third parties. We may offer promotions governed by terms separate from these Terms. If promotional terms conflict with these Terms, the specific promotional terms will govern that promotion.

You agree to provide current, complete, and accurate purchase, payment, and account information for purchases made through our store. You agree to update your information promptly, including your email address and payment details, so that we can complete transactions and contact you when necessary.

You represent and warrant that the payment information you provide is true, correct, and complete, that you are authorized to use the payment method, and that you will pay all charges incurred at the displayed prices, including applicable shipping, handling, and taxes.

Section 5 – Shipping and Delivery

We currently sell and ship to eligible addresses within the United States. Available shipping methods, costs, and estimated delivery information are presented during checkout when applicable.

Processing and delivery times are estimates and are not guaranteed. Delivery may be affected by carrier delays, weather, holidays, address problems, product availability, or other circumstances outside our reasonable control.

Tracking updates may take 24–48 hours to appear after a shipping label is created. Products from the same order may arrive in separate packages or from different fulfillment locations.

If a package appears lost, damaged, or incorrectly delivered, please contact us through our Contact Us page with your order number so that we can review the available information and assist with the appropriate next steps.

Section 6 – Intellectual Property

Our Services, including trademarks, brands, text, displays, images, graphics, product reviews, video, audio, and the design, selection, and arrangement thereof, are owned by or licensed to Bora Home Store LLC, PanaToys, our affiliates, or our licensors and are protected by applicable United States and international intellectual-property laws.

These Terms permit you to use the Services for personal, noncommercial purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit material from the Services without our prior written permission, except where allowed by applicable law.

Except as expressly provided, nothing in these Terms grants you a license or other right under any patent, trademark, copyright, or other intellectual property belonging to PanaToys, Shopify, or a third party. All rights not expressly granted are reserved.

The PanaToys and Pana Playhouse names, logos, designs, slogans, and associated brand materials are trademarks or brand assets of Bora Home Store LLC or its licensors. You may not use them without prior written permission. Shopify’s names, logos, product names, and service names are trademarks of Shopify. Other names and logos appearing through the Services belong to their respective owners.

Section 7 – Optional Tools

You may be provided with access to tools offered by third parties that we do not monitor or control.

You acknowledge and agree that access to such tools is provided “as is” and “as available,” without warranties, representations, conditions, or endorsements of any kind. To the fullest extent permitted by law, we will have no liability arising from your use of optional third-party tools.

Your use of optional tools is at your own risk and discretion. You should review and approve the terms under which the applicable third-party provider offers those tools.

We may introduce new features, tools, or resources through the Services. Such features will be considered part of the Services and will be subject to these Terms.

We are not responsible for evaluating the content, accuracy, security, or practices of third-party materials or websites. If you leave the Services to access a third-party website, you do so at your own risk.

To the fullest extent permitted by law, we are not liable for harm or damages related to your access to third-party websites or your purchase or use of products, services, resources, or content offered by third parties.

Please review third-party policies and practices before entering into a transaction. Questions, complaints, or claims concerning third-party products or services should be directed to the applicable third party.

Section 9 – Relationship with Shopify

PanaToys is powered by Shopify, which enables us to provide the Services. However, purchases made through our store are transactions directly between you and Bora Home Store LLC, doing business as PanaToys.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of a sale between you and PanaToys, including injury, damage, or loss resulting from purchased products or services. To the fullest extent permitted by applicable law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or relating to purchases and transactions made with PanaToys.

Section 10 – Privacy Policy

Personal information we collect through the Services is subject to our Privacy Policy. Certain personal information may also be subject to Shopify’s Privacy Policy. By using the Services, you acknowledge that you have had an opportunity to review these policies.

Because the Services are hosted by Shopify, Shopify collects and processes certain information relating to your access to and use of the Services to provide and improve the Services. Information submitted through the Services may be transmitted to and shared with Shopify and service providers that may operate in locations outside your state or country.

Section 11 – Feedback

If you submit, upload, post, email, or otherwise transmit ideas, suggestions, feedback, reviews, proposals, plans, photographs, videos, or other content relating to our Services (collectively, “Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display that Feedback in any medium for purposes including operating, evaluating, improving, and promoting the Services.

You represent and warrant that you own or possess the necessary rights to submit the Feedback, have disclosed compensation or incentives associated with it, and that your Feedback complies with these Terms.

We are not obligated to maintain Feedback in confidence, pay compensation for Feedback, or respond to Feedback. We may monitor, edit, or remove Feedback that we determine is unlawful, offensive, threatening, defamatory, obscene, misleading, or otherwise objectionable, or that violates intellectual-property rights or these Terms.

It must not contain unlawful, abusive, defamatory, or obscene material, viruses, or malware. You may not use a false email address, impersonate another person, or mislead us or others about the origin of Feedback.

You are responsible for the Feedback you submit and its accuracy. We assume no responsibility or liability for Feedback posted by you or another third party, except as required by applicable law.

Information made available through the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability.

We reserve the right to correct errors, inaccuracies, or omissions and to change or update information or cancel affected orders when information is inaccurate, including after an order has been submitted, subject to applicable law.

You may access and use the Services only for lawful purposes. You may not access or use the Services, directly or indirectly:

You may not use robots, spiders, scraping tools, data-extraction systems, unauthorized artificial-intelligence tools, automated devices, or manual processes to access or extract information from the Services in violation of these Terms or applicable law.

We reserve the right to suspend, disable, or terminate access to the Services if we reasonably determine that you have violated these Terms.

Section 14 – Agents

This section applies when you deploy or permit an autonomous or semi-autonomous software agent (“Agent”) to access, use, or interact with the Services.

An Agent may not access or interact with the Services unless it identifies itself and complies with this section. We may use technical measures to limit whether and how Agents interact with the Services.

An Agent must:

  • Identify itself as an Agent and disclose the Agent’s name in applicable requests;
  • Not conceal or misrepresent that an interaction originates from an Agent;
  • Not mimic human behavior to evade safeguards;
  • Not complete or circumvent CAPTCHAs or similar measures intended to distinguish humans from computers;
  • Respond truthfully when asked whether an interaction originates from a human or computer; and
  • Not circumvent measures intended to block, limit, modify, or control Agent access.

Section 15 – Termination

We may terminate these Terms or suspend or terminate your access to all or part of the Services at our reasonable discretion, subject to applicable law. You will remain responsible for amounts properly due through the effective date of termination.

Provisions concerning Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Entire Agreement, Assignment, Governing Law, Privacy, and other provisions that by their nature should survive will continue after termination.

Section 16 – Disclaimer of Warranties

Information presented through the Services is provided for general informational purposes. We do not warrant the accuracy, completeness, or usefulness of that information. Any reliance you place on such information is at your own risk.

EXCEPT AS EXPRESSLY STATED BY PANATOYS OR REQUIRED BY APPLICABLE LAW, THE SERVICES AND PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OR ALL OF THESE DISCLAIMERS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS EXCLUDES RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

Section 17 – Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BORA HOME STORE LLC, PANATOYS, OUR AFFILIATES, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, AND SHOPIFY AND ITS AFFILIATES, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES.

THIS LIMITATION APPLIES WHETHER A CLAIM IS BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANOTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN THOSE JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

Section 18 – Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Bora Home Store LLC, PanaToys, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party losses, damages, liabilities, and claims, including reasonable attorneys’ fees, arising from:

  • Your material breach of these Terms or policies incorporated by reference;
  • Your violation of applicable law or the rights of a third party; or
  • Your unlawful or unauthorized access to or use of the Services.

We will provide reasonable notice of an indemnifiable claim. A delay in providing notice will not relieve you of your obligations unless the delay materially prejudices your ability to respond. You agree to reasonably cooperate in the defense of an indemnified claim.

Section 19 – Severability

If a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law. Any unenforceable portion will be severed without affecting the validity and enforceability of the remaining provisions.

Section 20 – Waiver and Entire Agreement

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with policies and operating rules posted through the Services, constitute the entire agreement between you and us concerning your use of the Services and supersede prior or contemporaneous communications, proposals, and agreements concerning the Services.

Any ambiguity in these Terms will not automatically be interpreted against the party responsible for drafting them.

Section 21 – Assignment

You may not delegate, transfer, or assign these Terms or your rights or obligations under them without our prior written consent. An attempted unauthorized assignment will be void.

Subject to applicable law, we may transfer, assign, or delegate these Terms or our rights and obligations in connection with a merger, acquisition, asset transfer, corporate reorganization, service-provider relationship, or similar business transaction.

Section 22 – Governing Law

These Terms of Service and any separate agreements through which we provide Services are governed by the laws of the State of Ohio and applicable federal laws of the United States, without regard to conflict-of-law principles.

Subject to any rights you may have under applicable consumer-protection law, disputes arising from or relating to these Terms or the Services will be brought in a court of competent jurisdiction located in Ohio. You and PanaToys consent to the jurisdiction of those courts.

The headings used in these Terms are included for convenience only and do not limit or otherwise affect the meaning of these Terms.

You may review the current version of these Terms of Service on this page at any time.

We reserve the right to update, change, or replace portions of these Terms by posting the revised Terms through our website. When required by law, we will provide appropriate notice of material changes. Changes become effective on the date stated in the notice or when published if no different date is specified.

Your continued use of the Services after revised Terms become effective constitutes acceptance of those changes to the extent permitted by applicable law.
